    General Terms of Sale, Jayn (Silver SAS)

    1. Purpose
    These General Terms of Sale ("GTS") govern the recruiting and sourcing services provided by Silver SAS, operating under the Jayn brand (hereinafter "Jayn"), to client companies (hereinafter "the Client"). By signing a sourcing mandate or otherwise engaging Jayn, the Client accepts these GTS in full.

    2. Service
    Jayn is an AI native recruiting agency. Jayn sources and technically vets junior talent from leading French schools, and delivers the Client a shortlist of pre qualified candidates, together with their evaluation reports, through a dedicated dashboard. The Client makes the final hiring decision. Jayn acts as a recruiting intermediary and is not the employer of the candidates.

    3. Free for Candidates
    Jayn services are entirely free for candidates. In accordance with article L.7234-1 of the French Labour Code, all sourcing and placement fees are borne exclusively by the Client. Candidates are never charged at any stage.

    4. Fees
    Fees are defined in the sourcing mandate or engagement letter signed with the Client before work begins, and depend on the type of role. For internship sourcing, a shortlist fee is due upon delivery of the vetted shortlist (dashboard access), independently of the Client's final hiring decision. For permanent (CDI) placements, a success fee, calculated as a percentage of the placed candidate's first year gross salary, is due only if the Client hires a candidate presented by Jayn. The applicable rates are set in the mandate. No subscription or registration fee applies.

    5. Invoicing & Payment
    Internship shortlist fees are invoiced upon delivery of the shortlist. Permanent placement success fees are invoiced once the hire is confirmed by signature of the employment contract. Invoices are payable within 30 days of their issue date. Late payments incur penalties in accordance with applicable French legislation.

    6. Sourcing Process
    The Client defines the role, the required skills, and the selection criteria. Jayn commits to sourcing and vetting candidates matching those criteria and to delivering a shortlist within the timeframe agreed in the mandate. Jayn provides a best efforts service and does not guarantee that the Client will hire a candidate from the shortlist.

    7. Cancellation
    If the Client cancels a mandate before the shortlist is delivered, no fee is due for that mandate. Once the shortlist has been delivered, the corresponding internship shortlist fee remains due. For permanent placements, any replacement guarantee is defined in the mandate.

    8. Liability
    Silver SAS acts solely as a recruiting intermediary and is not the employer of the candidates. Silver SAS is not liable for the candidate's performance or conduct, nor for the outcome of the employment relationship between the Client and the candidate. Silver SAS is not liable for indirect damages. Its total liability is limited to the fees collected on the relevant mandate.

    9. Personal Data
    Personal data is processed in accordance with the GDPR. Data is used solely to deliver the service and to communicate with the Client. Contact: contact@jayn.app.

    10. Applicable Law
    These GTS are governed by French law. Any dispute shall be submitted to the competent courts of Bordeaux, France.
